For our client, a rapidly growing international capital group, we are looking for an experienced, hands-on, dedicated finance professional for the newly created position of Shareholding Controller. Based in the company's head office in Warsaw, the successful candidate will report directly to Group CFO and play a key role in the further development of the organization. The Shareholding Controller will be responsible for the efficient administration of the company, particularly with regard to ensuring compliance with statutory and regulatory requirements and will ensure that decisions of the Board of Directors are implemented. Key activities will include shareholder governance, management of subsidiaries and optimization of legal structure, as well as financing and earning policy coordination
- Direct the business affairs of the company by implementing the decisions of the board of directors
- Act as adviser to the directors of the company
- Monitor companies' performance and asset management from the shareholder point of view
- Handle company share transactions such as issuing new shares, arranging for the payment of dividends and observing all legal requirements
- Design and implement financing strategies for subsidiaries and projects
- Optimize capital structures of the subsidiaries
- Liaise with auditors, lawyers, tax advisers, bankers and shareholders
- Attend and take minutes of directors' and members' meetings
- Negotiate the terms of new business contracts
- Assess and arrange insurance cover for the company
- Ensure the company meets its compliance obligations under relevant laws and the requirements of regulatory authorities
- Represent the company in dealings with other companies, banks and shareholders
- Supervise financial administration including preparation of financial statements
- Relevant degree in Finance, professional qualifications (ACCA, CPA or equivalent) will be a strong asset
- At least 5 years experience in a controlling role in an international structure
- Solid knowledge of corporate tax and legal related matters
- Hands-on approach. problem-solver; detail-oriented; flexible and creative
- Strong analytical and modelling skills
- Highly developed interpersonal and communication skills
- Demonstrated ability to work independently and meet tight deadlines
- Very good knowledge of IT tools (Excel, ERP systems)
- Fluency in English
