Medicover Integrated Clinical Services (MICS) is a specialised business unit within the Diagnostic
Services division with more than 200 employees that is focusing on clinical trial and patient management that are relevant for applications and clients from pharmaceuticals, diagnostics biopharma, biotech, contract research organisations’ (CROs), biobanks, and other players within this clinical sector. MICS has been providing bespoke services to our clients and their patients for over 20 years, making strategic use of Medicover assets, including laboratories with state-of-the-art diagnostic equipment, medical clinics and hospitals.
We are currently recruiting an In-house Counsel for the MICS business.
In Your Role, you will be part of the Medicover legal team, comprising of around 40 members throughout the group, based in various jurisdictions in Central & Eastern Europe, Germany and India. You will report to the Diagnostic Services Divisional Legal Counsel with a dotted line to the Head of Medicover Integrated Services (MICS) and you will be responsible for:
- You will draft, review, negotiate and follow-up commercial contracts with customers and partners including, but not limited to, Clinical Trial Agreements, Master Service Agreements, Work Orders, Change Orders, Amendments, Consultancy Agreements, Advertising and Marketing Terms, NDA’s and CDA’s, Vendor Agreements, IT Procurement Agreements, Letters of Intent.
- You will advise on legal risks and the legal liabilities associated with the commercial contracts while providing alternative solutions.
- You will collaborate closely with compliance, sales, operations departments and local management teams to provide clarification on legal language and propose alternatives.
- You will deal with complex legal and business matters with multiple stakeholders (internal & external) and challenges
- You will ensure compliance with the Group policies, applicable legal requirements and other formalities.
- You will create contract templates/clauses/processes that accelerate scalability and flexibility of the organisation.
- You will be working alongside international legal colleagues on specific operational requirements within the jurisdictions of Poland, Germany, Romania, Ukraine, and Switzerland.
- You will advise and draft correspondences in relation to commercial disputes relating to debt, liability, indemnification, and force majeure clauses in agreements, along with employment matters,
- Together with the Data Privacy Teams, you will advise on data protection issues including applicable contract clauses, advice on breaches and reporting, necessity to complete DPIA’s, privacy notices, along with necessary internal/intercompany arrangements.
- You have a law degree from a recognised university in Europe
- You have 10+ years of experience gained in either an international law firm and/or as an in-house-lawyer in an international organisation, focusing on commercial law and business contracts, preferably in the pharma industry, clinical trials, CRO, biotech sectors
- You can work independently
- You are hands-on & driven by closing tasks effectively & efficiently
- You enjoy understanding a company’s business and can balance business versus legal priorities.
- You have excellent organisational, prioritisation and time-management skills.
- You have strong win-win negotiating skills with both legal and financial/commercial issues.
- You are eager to learn/explore the legal particularities of different countries.
- You have a high degree of professional ethics and integrity.
- Fully fluent in English (written and spoken), other European languages are an advantage
